1. Fees Charged on Ticket Sales
| Item | Amount | How it is calculated |
|---|---|---|
| Service fee if the Business issues the invoice |
20.00 TRY + VAT | A fixed amount per ticket sold. It is independent of the ticket price. |
| Service fee if innclude issues the invoice |
25.00 TRY + VAT | An amount is added to the same figure in consideration of preparing and delivering the document issued to the Participant. Which model applies is set out in Article 8. |
| Commission | (shown at the purchase step) + VAT | Calculated on the amount actually paid by the Participant. The rate is set per Business, and this table shows the rate applicable to the Business. |
1.1. Both items are included in the amount paid by the Participant. A single price is shown to the Participant and that price is set by the Business. No separate service fee is collected from the Participant; the fee arises from this Annex between innclude and the Business and is invoiced to the Business.
1.1.a. Basis of the commission. The commission is calculated on the entire amount actually paid by the Participant for that ticket. The amount remaining after the service fee has been deducted is not used as the basis. In a sale to which a discount code or a promotion has been applied, the basis is the discounted amount paid by the Participant; a refund is calculated on the same basis.
1.1.b. The service fee and the commission are amounts exclusive of value added tax. The value added tax on the two items is shown on the invoice issued by innclude to the Business on the total of the two and is set off against the settlement. The amount remaining to the Business is the amount left after the service fee, the commission and the value added tax on those two items have been deducted from the amount paid by the Participant.
1.1.c. A Business using its own payment infrastructure. For a Business that collects payment through its own payment infrastructure, the commission rate is set differently and the rate applicable to the Business is shown in the table in Article 1. A change in the collection channel does not change the capacity of Seller (8.1), does not change who issues the document (8.2) and does not change the addressee of the Participant's refund request: refund requests are in all cases handled through innclude. The fact that a merchant name other than innclude may appear on the Participant's card statement is disclosed to the Participant in Article 4.4 of the Distance Sales Agreement.
1.1.d. The commission rate is set per Business and is not tied to the package. The rate applicable to the Business is shown in the sales statement and in the settlement calculation. Any change to the rate is subject to Article 2.
1.1.e. Application per admission right. The service fee is applied separately for each admission right granted by the ticket. For tickets that allow more than one person to enter, the fee is calculated according to the number of Participants.
1.2. No commission is charged for free events and complimentary tickets. For complimentary tickets, no service fee is charged either. If innclude changes this rule, the change is subject to the procedure in Article 2 and applies only to events created after the date of the announcement.
1.3. Passing the fee on to the Participant. As at the effective date of this Annex, no service fee is collected separately from the Participant; the fee is covered out of the price set by the Business. If innclude later offers the Business the option of adding the service fee on top of the ticket price and passing it on to the Participant, then in sales where that option is used the total price shown to the Participant includes the fee and the sentence in 1.1 does not apply to those sales. Use of the option is the Business's decision and is shown to the Participant at the purchase step.
1.4. Where a third share arises. Programmes under which innclude deducts a share arising from a sale from the Business's settlement (including sharing and referral programmes) are not operated as at the effective date of this Annex. If such a programme is launched, the share payable by the Business and its conditions are notified to the Business in advance, the Business's participation is optional, and the share applies only to sales of a participating Business.
1.5. Worked example (for a ticket of ₺600.00):
| Price paid by the Participant, set by the Business | ₺600.00 |
|---|---|
| Service fee (per ticket) | ₺20.00 |
| Commission (7% × 600.00) | ₺42.00 |
| VAT on the service fee and the commission (20% × 62.00) | ₺12.40 |
| Remaining to the Business | ₺525.60 |
For the same ticket, if innclude issues the invoice (model B in Article 8) the higher service fee tariff applies: ₺25.00 service fee, ₺42.00 commission, ₺13.40 tax, leaving the Business ₺519.60. Both examples follow the tariff in force on the date this Annex was prepared; the binding amounts are the current amounts shown in the table in Article 1.
The tax rate in the example is calculated at the general rate in force; if the rate changes, the calculation changes with it. A Business that is registered for value added tax may deduct this amount; an individual Business that is not registered cannot deduct it and the tax is a cost item for that Business.
2. Changes to the Fees
2.1. innclude may update the service fee and the commission rate on account of costs, payment institution deductions and general economic conditions. These fees have no fixed period of validity.
2.2. An update is announced in the panel and applies to events created after the date of the announcement. For events put on sale before the announcement, the former fees remain in force until sales for that event have ended.
2.3. If the Business does not accept an update, it may terminate the agreement. Termination does not affect obligations relating to events whose sales are ongoing.
3. Settlement and Payment
3.1. innclude pays the Business the amount remaining after deducting the service fee, the commission and any statutory withholdings from the amount collected.
3.1.a. Cases where innclude does not collect the payment. Where the ticket price is collected through the Business's own payment infrastructure, innclude holds no amount against which a set-off can be made. In that case the service fee and the commission are collected from the Business by an invoice issued after the event has ended. The invoice is paid within fourteen days from the date of issue.
3.2. Payment is made within five business days after the event has ended and the refund request period has closed. Where innclude issues the document to the Participant (model B in Article 8), payment is also subject to receipt of the monthly invoice to be issued by the Business to innclude.
3.2.a. The refund request period is the period within which the Participant may submit a refund request, and it ends at the end time of the event. After that time, refunds, re-delivery and entry operations close; the settlement and invoicing process begins.
3.3. In the following cases the payment period is suspended and the reason is notified to the Business:
- Participant refund requests or chargeback proceedings have not been concluded.
- There is a suspicion of fraud or a legal investigation.
- The bank and identity details required for payment are missing or have not been verified for the Business.
- The event has been cancelled. In that case Participant refunds are completed first.
3.4. Payment is made only to a bank account opened in the name of the individual or legal entity registered in the business account. No payment is made to the personal accounts of authorised users or employees.
3.4.a. The details of the bank account to which payment is to be made are notified by the Business in writing (by e-mail until such a field is opened in the panel), and it is verified that the notification comes from a person authorised to represent the Business. Any change to the details is subject to the same procedure. innclude cannot be held responsible for a delay caused by missing, incorrect or unverified details.
3.5. Effect of refunds and chargebacks on deductions.
- Commission. No commission is charged for a refunded ticket. If it has been charged, it is reversed and either refunded to the Business or set off against the first settlement.
- Service fee, in a refund made at the Participant's own request. The service fee is not refunded to the Participant and remains with innclude; in that case no further service fee is charged to the Business.
- Service fee, in a refund due to cancellation of the event or attributable to the Business. A full refund including the service fee is made to the Participant. In that case the refunded service fee is set off against the Business's settlement; if the settlement is insufficient, it is invoiced to the Business.
- Calculation of the refund amount. The refund is calculated on the amount actually paid by the Participant. In a sale to which a discount code or a promotion has been applied, the refund is made on the discounted amount.
- Chargeback. In a chargeback initiated through the Participant's bank, the transaction amount and the chargeback charge applied by the payment institution are set off against the Business's settlement. If the transaction is upheld, the set-off is reversed.
3.6. Freezing of the terms. The fees arising from a sale are calculated with the service fee and the commission rate applicable to that event under 2.2, and those terms are frozen for that sale. A refund is reversed on the same terms; the rate at the refund date is not applied. If a difference arises between 2.2 and this article, 2.2 applies: fees are frozen per event and do not change for an event whose sales have begun.
3.7. Termination of the agreement. Termination of the agreement does not affect settlement and refund obligations arising from sales made before the termination date. For events whose sales are complete but which have not yet taken place, innclude continues to provide the ticketing and entry infrastructure until the dates of those events.
4. Packages and Subscription
4.1. Prices. Package and add-on credit charges are set in Turkish lira and are exclusive of value added tax. The current prices applicable to the Business are shown below; these values are taken, at the moment the text is displayed, from the source read by the package screen of the panel, and they form part of this Annex.
| Package | Monthly (excluding tax) | Annual (excluding tax) |
|---|---|---|
| (shown at the purchase step) | (shown at the purchase step) | (shown at the purchase step) |
| (shown at the purchase step) | (shown at the purchase step) | (shown at the purchase step) |
| (shown at the purchase step) | (shown at the purchase step) | (shown at the purchase step) |
| (shown at the purchase step) | (shown at the purchase step) | (shown at the purchase step) |
This table shows the price list applicable to the Business. If a price or a discount specific to the Business applies, that value appears in the table. The values are valid as at (shown at the purchase step). What is binding is the amount shown to the Business at the moment the order is placed and recorded with the order.
4.2. At the purchase step the Business sees the package it has selected, the billing period, the amount excluding tax, the tax amount and the total payable. The order is placed on those amounts and the invoice is issued on those amounts. The list price, the promotion, the discount code, the set-off, the tax and the total are calculated by innclude's systems and recorded together with the order.
4.2.a. Currency. Package and credit fees are set and collected in Turkish lira; the fee is not indexed to a foreign currency or to any other value. Where innclude offers packages in a foreign currency to Businesses established abroad, the currency is determined according to the Business's billing country and cannot be changed during an open paid subscription; a change takes effect only in a new billing period.
4.2.b. Tiers. The package tiers are named Temel (Basic), Standart (Standard), Profesyonel (Professional) and Kurumsal (Enterprise). The Temel (Basic) tier is free of charge and cannot be purchased; a Business falls back to this tier where a subscription is unpaid or cancelled.
4.3. Scope of the packages. The scope and the limits of each tier are set out in the list shown on the package screen of the panel at the moment of purchase. What is binding is the scope shown to the Business at the moment the order is placed and recorded together with the order. The scope is defined under the following headings:
- Message credits and in-app notification allowance per billing period.
- Allowance for creating free events.
- Number of authorised users, Promoters and door staff.
- Role separation: availability of roles such as finance, sponsor and stand.
- Allowance for creating more than one brand or venue.
- Level of access to the CRM and data operations screens.
- Level of support.
Operations that exceed a limit are stopped by innclude, and the Business is notified which limit has been exceeded, the value of that limit and its current usage.
4.4. Subscription period and renewal. A subscription is monthly or annual. At the end of the billing period the subscription does not renew automatically; the Business pays the fee for the new billing period and the package continues. Where payment is not made, the package remains open for a further three days after the end of the billing period and falls back to the free tier at the end of that time.
4.4.a. End of period notification. Before the end of the billing period, innclude notifies the Business's registered e-mail address and the in-panel notification surface that the billing period is coming to an end and that the package will fall back to the free tier if payment is not made. This notification is not a demand for payment; payment is made by the Business's own action.
4.5. An automatic renewal function based on storing a payment method is not offered as at the effective date of this Annex. When innclude introduces this function, it will be activated only with the Business's separate consent, the Business will be able to switch it off at any time from the panel, and notice will be given before the first collection.
4.6. Cancellation. The Business may cancel its subscription at any time. Cancellation takes effect at the end of the paid billing period: the package continues to be open until that date and falls back to the free tier on that date.
4.7. No refund is made for a paid billing period. This rule applies regardless of how much of the billing period has been used. The package is opened at the moment of purchase and is kept available for the Business's use throughout the billing period; the fee is the consideration for that availability. No partial refund is made on account of partial use.
4.8. Annual prepayment. Annual prepayment is a discounted commitment compared with monthly payment. No refund is made in the event of cancellation during the annual billing period.
Where innclude exceptionally makes a refund at its discretion, the months used are recalculated at the monthly tariff and deducted from the amount paid; any remaining amount is refunded. If the calculated amount exceeds the amount paid, no refund is made.
| Example: an annual package cancelled in the fourth month | Calculation |
|---|---|
| Annual fee paid | Y |
| Period used, at the monthly tariff | 4 × A |
| Amount that may be refunded | Y − (4 × A), no refund if negative |
4.9. Quota and message credits. The message and notification quotas defined for a package are renewed on the basis of the billing period starting on the Business's subscription day, not the calendar month. An unused package quota does not carry over to the next billing period; purchased add-on credits do carry over and are used once the package quota has been exhausted. The Business's total allowance is the sum of the period quota, any adjustments made by innclude and the add-on credit balance, and all three are shown separately in the panel.
4.9.a. Credit consumption. Credit consumption is determined by channel and by the country of the number:
| Delivery | Credit |
|---|---|
| Chargeable message: SMS and instant messages outside the response window | 1 |
| Instant message within the response window | 0 |
| Delivery to an international number | 2 |
| An instant message attempt and, where it fails, delivery through the fallback channel | a single message, once |
In-app notifications have a separate quota and are not deducted from message credits. The credit estimate shown in the panel is a lower bound; because the share of international numbers cannot be known in advance, actual consumption may exceed the estimate.
4.9.b. When the quota is exhausted. When the quota is exhausted, only message delivery to guests stops. Ticket sales, gate scanning and the publication of the event are not affected. The Business is warned in the panel and at its registered e-mail address at the 75%, 90% and 100% levels of the quota.
4.10. Upgrade, downgrade and set-off. The Business may move to a higher tier during a billing period; in that case a proportionate credit is calculated for the unused part of the billing period and deducted from the fee for the new package. If the credit exceeds the new fee, the difference is not refunded in money; the remaining credit is added to the new billing period as days. A move to a lower tier is applied at the end of the billing period and no payment is taken for that move.
4.11. Free and pilot subscriptions. innclude may assign a package to a Business free of charge or as part of a pilot. No fee is charged for such subscriptions, the provisions on refunds and price updates do not apply, and innclude may end the subscription on reasonable notice.
4.12. The account to which the subscription is tied. The subscription is tied to the main brand account. Linked brands and venues can see the subscription; purchase and payment are made only from the main account.
4.13. Promoter accounts. Accounts of the Promoter type do not purchase packages and no subscription fee is charged for a Promoter account. The functions the Promoter can use on the Platform depend on the package of the brand to which the Promoter is linked and on the authority granted by that brand. Articles 1, 2, 3 and 8 of this Annex do not apply to a Promoter account by their very nature; there is no relationship between innclude and the settlement the Promoter is to receive from its brand.
5. Updating Package Prices
5.1. Package and credit prices have no fixed period of validity. innclude may update these prices.
5.2. An update is announced in the panel and notified to the Business at least thirty days before its effective date.
5.3. A new price applies only in a new billing period.
- For a monthly subscription, the update applies from the first renewal period following the announcement.
- A Business that has prepaid annually is not affected by a price increase for the billing period it has paid for. The new price applies once that billing period ends.
- Add-on credits already purchased remain valid even if prices change.
5.4. If the Business does not accept a new price, it may cancel its subscription before the renewal date.
6. Invoicing and Payment
6.1. Package and credit charges are collected in advance. innclude issues an electronic invoice following collection.
6.2. The amounts in the price list do not include value added tax; the tax is shown separately on the invoice.
6.3. Where payment is not made, innclude may suspend the package services.
6.4. Billing record. The Business may keep more than one billing record in the panel and may choose, for each order, which record the invoice is to be issued to. In this way invoices can be issued from the same panel in the name of different individuals or legal entities. The Business is responsible for the accuracy of the record and for having the authority to request that an invoice be issued in the name of the holder of that record.
6.5. Freezing of the invoice. An invoice becomes final with the billing record details as they stand at the moment it is issued. Even if the record is changed afterwards, the invoice already issued does not change. Where a correction is required, the procedure in tax legislation applies.
6.6. Tax regime. The applicable tax rate and the invoice type (e-invoice, e-archive invoice or export-registered invoice) are determined by innclude according to the Business's registered country and its taxpayer status; they cannot be selected by the Business. No value added tax is applied to invoices issued abroad.
6.7. The two invoicing flows are separate. The ticket price is collected from the Participant and transferred to the Business, and the obligation to issue an invoice to the Participant rests with the Business. innclude collects the package and credit fees and innclude issues the invoice to the Business. The two flows are not set off against each other; the contrary may be agreed in writing.
7. Orders, Documentation and Refunds
7.1. Order. Packages and credits are purchased through the panel. At the purchase step the Business sees the package, the billing period, the amount excluding tax, the tax amount and the total payable. The obligation to pay arises upon confirmation of the order.
7.2. Documentation. Because the service is provided electronically, no physical delivery is made and no dispatch note is issued. innclude issues an electronic invoice following collection and delivers it to the Business's registered address.
7.3. Commencement of the service. The package is opened at the same moment the payment is approved.
7.4. Refund. Package and credit fees are not refunded for a paid billing period. The exceptions are:
- Duplicate collection.
- The package not having been usable at all for a technical reason attributable to innclude.
In these cases the refund is made through the channel used for payment within ten business days at the latest.
7.5. Tax details. The Business keeps its trade name, tax office, tax identification number and address details accurate and up to date so that an invoice can be issued. innclude checks these details as to form; it does not verify them against public records.
7.6. Individual buyers. A package may also be purchased by individuals who are not registered taxpayers. In that case the invoice is issued with the person's first name, surname, Turkish identity number and address details.
7.7. At the purchase step the Business Preliminary Information Form and the Business Distance Sales Agreement are presented to the Business. The two documents are approved separately; the Business is also informed that the service will be performed immediately upon approval and that the right of withdrawal therefore cannot be exercised. The package is not opened before these approvals are obtained. The record of approval is retained in connection with the order, together with the version of the text approved.
7.8. Separation of approvals. The texts approved when the brand account is opened and the texts approved when a package is purchased are recorded separately. Which document is approved where is shown in the table in Article 11.3 of the Business Preliminary Information Form. This Annex is also approved when the brand account is opened, because the service fee and the commission arise with the first ticket sale, independently of whether a package is purchased.
8. Invoicing Model and Documentation
8.1. Three models. Who issues the document to be issued to the Participant, and the effect of this on the capacity of Seller, are as follows. The model is selected by the Business.
| Model | Seller | Document to the Participant | Invoice from the Business to innclude |
|---|---|---|---|
| A | the Business | The Business issues and delivers it itself | None. innclude issues only the service fee and commission invoice to the Business |
| B | innclude | innclude issues it, at the time of sale | Yes. The Business issues the invoice for ticket sales to innclude monthly, dated the last day of the relevant month |
| C | the Business | None is issued. The case where the Business is not a registered taxpayer | None |
8.2. innclude's capacity under models A and C. Under these models the Seller is the Business; innclude is an intermediary service provider. innclude collects the ticket prices in the name and on behalf of the Business. The amount collected belongs to the Business, is not innclude's revenue, and is held at innclude in the name of the Business until payment is made. innclude records only its own service fee and commission as revenue.
8.3. Rules and fee of model B. Under model B innclude issues the document to the Participant and the tax arising from that document arises at innclude at the time of sale. Accordingly:
- The Business issues the invoice for ticket sales to innclude monthly and dated the last day of the relevant month.
- The settlement payment is subject to receipt of that invoice by innclude. No payment is made until the invoice is received.
- The Business accepts that it makes this choice in the knowledge that, under this model, it will declare the value added tax before collecting the amount. Because innclude issues the document at the time of sale, the Business's invoice also falls in the month of sale, whereas payment is made after the event.
- Where the invoice is not issued in time, innclude may suspend payment and pass on the resulting tax burden to the Business.
8.4. Selection of the model and its immutability. The model is determined at brand level and is copied to each newly created event. For a given event the model cannot be changed until the event has ended. The reason for this is to prevent the document being issued by innclude for some Participants and by the Business for others at the same event. A change to the selection at brand level takes effect only for events created after the change.
8.4.a. Where no selection has been made. For as long as the Business has not selected a model, the behaviour applied up to that date continues and a warning is shown in the panel asking for a selection to be made. The absence of a selection does not place any obligation on innclude to issue a document to the Participant.
8.5. A Business that is not a registered taxpayer. Model C applies to an individual Business that is not a registered taxpayer, and no invoice is issued to the Participant. This is clearly shown to the Participant at the purchase step. The Business declares its taxpayer status; innclude does not verify that declaration against public records and the Business is responsible for its accuracy.
8.5.a. Obligations of the Business. The Business:
- keeps its trade name, tax office, tax identification number or Turkish identity number, address and taxpayer status accurate and up to date, and updates changes in the panel without delay;
- under model B, authorises innclude to issue the document to the Participant and to use the details required for that purpose;
- is responsible for the accuracy of the information on which the document is based (ticket price, tax rate, event details);
- under model A, issues and delivers the document to the Participant in time and meets the Participant's request for a document;
- under model B, issues the monthly invoice referred to in 8.3 in time;
- fulfils its own tax declaration and payment obligations. innclude's issuing of a document does not mean that it assumes the Business's tax obligations;
- acts together with innclude in cases of refund and cancellation where a document already issued needs to be cancelled or corrected.
8.6. Deductions and withholding. Where legislation requires a deduction at source, the withholding is deducted from the settlement payment and notified to the Business. The rate and the scope are determined by legislation; no fixed rate is stated in this Annex.
- The withholding is declared by innclude in the name of the Business and paid to the relevant authority.
- The amount withheld is a tax credit the Business may set off in its own tax return. So that the Business can know this, the withholding is shown separately in the settlement statement.
- Withholding is applied to Businesses that are registered taxpayers; it is not applied to individual Businesses that are not registered taxpayers.
- Where taxpayer status is not declared by the Business or cannot be evidenced, the withholding is applied. Because an insufficient withholding gives rise to a tax loss at innclude, the rule in cases of uncertainty is to apply the withholding. If the Business evidences its status later, the withholding is corrected to the extent permitted by legislation.
The withholding is shown as a single line in the settlement statement; the item-level detail appears in the document supporting the statement.
8.7. Reporting obligations. As an intermediary service provider, innclude reports information about the Business and its sales to the competent authority under the reporting obligations arising from legislation. This report is made for every sale, independently of whether a document has been issued and of which model has been selected. The Business is obliged to provide the information required for the report accurately and in full.
8.8. Settlement statement. For each settlement payment, a statement is issued and delivered to the Business containing the gross sales, the number of tickets, the service fee, the commission, the value added tax, any withholding, the net amount paid, and the account and date of payment.
8.9. Commission invoice. innclude's service fee and commission invoice is issued in a single instalment after the event has ended.
9. Scope and Features Outside the Scope of Commitment
9.1. The scope innclude undertakes to provide to the Business consists of the features actually open in the panel on the date the order is placed.
9.2. Features shown on marketing pages, in package comparison tables or in sales discussions with a wording such as "coming soon", "coming very soon" or similar are outside the scope of commitment. The failure to open such features does not give rise to a refund or reduction of the fee, or to a breach of the agreement.
9.3. innclude may decide to develop, change or withdraw a feature. Where a feature that was open on the date the order was placed and that the Business uses is withdrawn, innclude gives at least thirty days' notice; in that case the Business may cancel its subscription before the renewal date.
9.4. The fact that a feature is addressed in this Agreement does not mean that the feature is provided.
10. Support, Objections and Notices
10.1. Support. The Business submits support requests through the panel or to [email protected]. The level of support depends on the package and is shown at the time of the order.
10.2. Objection. The Business may object, through the panel or in writing, to an invoice amount, to deductions, to the settlement calculation, to quota usage and to refund transactions. The objection is submitted within thirty days of the date on which the transaction objected to was notified to the Business. innclude concludes the objection within fifteen business days and gives a reasoned reply.
10.3. Notices. Notices under this Annex are given to the Business's e-mail address registered in the panel and to the in-panel announcement surface. The Business is obliged to keep its registered e-mail address up to date.
10.4. Amendment of the Annex. innclude may update this Annex. An update is notified by the means set out in 10.3 at least thirty days before its effective date. If the Business does not accept an update, it may cancel its subscription and terminate the agreement before the effective date; if that right is not exercised, the update takes effect on the effective date. Under 2.2, an update has no retroactive effect for events whose sales have begun.
11. Dynamic Fields
11.1. The fields marked in yellow in this Annex are filled with values coming from the panel at the moment the text is displayed. The source of the fields is the same as the source from which the panel shows the same value; fees, rates and scope are not written into this text by hand.
11.2. If the value of a field cannot be obtained, a neutral statement that the value is shown in the panel is printed in place of that field; no field is left blank in the text and no former value is shown.
11.3. The fields used by this Annex are: 20.00 TRY, 25.00 TRY, (shown at the purchase step), {{fiyat.kademe_n_ad}}, {{fiyat.kademe_n_aylik}}, {{fiyat.kademe_n_yillik}}, (shown at the purchase step). In consumer agreements the fields innclude Bilet Dağıtım ve Bilişim Teknolojileri A.Ş., Göztepe, 4781218000, Fenerbahçe Mah. İğrip Sok. No: 13/1, 34726 Kadıköy / İstanbul, [email protected], +90 532 466 0286 and innclude Bilet Dağıtım ve Bilişim Teknolojileri A.Ş. are also used. All of the fields used in innclude's legal texts are gathered in the list in Article 11.2 of the Business Preliminary Information Form; all documents use the same field names.
11.4. Where a service fee or a commission rate specific to the Business applies, that value is shown in this Annex and replaces the general rate in Article 1.
12. Effect
This Annex is an integral part of the innclude Business Agreement. In the event of a conflict between the Annex and the Agreement, this Annex applies.
